BYLAWS OF THE SOUTH CAROLINA INFECTIOUS DISEASES SOCIETY
ARTICLE 1. NAME.
The name of this society shall be the South Carolina Infectious Diseases Society (SCIDS), hereafter designated as SCIDS.
ARTICLE 2. PURPOSE.
The purpose of SCIDS shall be to promote all aspects of microbiologic study, clinical management, epidemiology, and control of infectious diseases, and to disseminate knowledge about infectious diseases to all South Carolinians.
ARTICLE 3. MEMBERSHIP.
Physicians, Nurse Practitioners, Physician Assistants, PhD’s and PharmD’s who have had at least one year of formal training or an apprenticeship in infectious diseases or related disciplines, or who have demonstrated substantial interest and scholarship in the field of infectious diseases, shall be eligible for membership in SCIDS.
Members shall be elected by two-thirds majority vote of the Executive Committee.
ARTICLE 4. METHOD OF GOVERNMENT.
The governance of the Society and responsibility for its implementation shall rest with the Executive Committee, whose membership is set forth in the Bylaws.
ARTICLE 5. COMPLIANCE WITH SECTION 501c(3) OF THE INTERNAL REVENUE CODE OF 1986.
The purposes for which the South Carolina Infectious Diseases Society is organized are exclusively charitable, scientific, literary and educational within the meaning of section 501c(3) of the Internal Revenue Code of 2023 or the corresponding provision of any future United States Internal Revenue law.
Notwithstanding any other provisions of these articles, this organization shall not carry on any activities not permitted to be carried on by an organization exempt from the federal income tax under section 501c(3) of the Internal Revenue Code of 2023 or the corresponding provision of any future United States Internal Revenue law.
Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501c(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal, state or local government for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the country in which the principal office of the organization is then located, exclusively for such purposes.
ARTICLE 6. AMENDMENTS.
The Bylaws may be altered, amended, or appealed by a two-thirds majority vote of the members present at the annual meeting, or by a two-thirds vote of a majority of members in good standing conducted by signed, mailed ballots. Proposed changes must be presented in advance to the membership at least thirty days before such a vote is to take place.
ARTICLE 7. DUES, REVENUES.
The South Carolina Infectious Diseases Society is a non profit organization and as such it will seek financial support for its activities from grants, foundations, donations from industry and/or dues from its members. If Dues are required to sustain the scientific activities listed in its purpose, the monetary level for those dues shall be determined by the Executive Committee and be payable yearly.
ARTICLE 8. OFFICERS.
Officers of the Society shall consist of a President, a President-elect, Secretary, and Treasurer.
All Officers shall be elected by a majority vote of members present at the annual meeting. All Officers shall serve a two-year term of office with the option of extending the term of service due to unforeseen circumstances (i.e. pandemics, lack of volunteers available to act as officers, etc.).
After two years the President-elect shall become president.
Three Councilors are to be appointed by the President for two-year terms. One Councilor shall be selected from each of the three geographic regions of South Carolina, as commonly defined; Coastal (Lowcountry), Midlands and the Pee Dee; and Piedmont (Upcountry).
Nominations for officers can be made by writing the Secretary prior to the annual meeting, in which case such nominations shall be taken into consideration by the Executive Committee. Nominations can also be made during the annual meeting; in which case such nominations shall be added to those made by the Executive Committee for purposes of election by the members present.
SECTION B. COMMITTEES.
The Executive Committee shall consist of the Officers and three Councilors.
Special Projects Committee. Such committee shall be created by the President at any time.
